Terms of Service

 
Payment Terms:
100% of onboarding deposit is due upon signing, 1st of 4 payments ($10,000). Any third party costs (any items needing to be outsourced as well as ad-spend) will require immediate payment as they arise throughout development. All payments will be taken via pre-authorized Automatic Funds Transfer or credit card with net 7 day terms. If paying via credit card a (3%) charge will be applied. All funds are to be paid in readily available US Dollars unless otherwise stated.
Length of Agreement:
Ongoing unless otherwise terminated in writing by either party. The project will be a 4 month engagement, and the client can decide to continue with other services or finalize the project terms.
Termination of Agreement:
This agreement can be terminated with 30 days' written notice by either party. This document adheres to British Columbia Law.‌
Additional Expenses:
The monthly retainer does not include any 3rd party expenses, programs, or costs outside of those detailed in the Fee Chart. No 3rd party expenses will be incurred without client prior approval in writing.
Scope Creep & Change Management:
Any additional work that is requested to be completed outside of the project plan will be confirmed in writing by the client and will be charged at the additional hourly rates above.
Indemnity:
Set2Close does not accept any responsibility for any consequences as a result of any errors or omissions in this document.‌
Refunds & Warranties:
We do not offer refunds or warranties as this work is creative in nature & requires mainly time & knowledge to complete. We will complete the deliverables we agreed upon in the project plan. The guarantee for any hire is 90 days, meaning Set 2 Close will offer (1) replacement without further recruitment charges if the new hire turnovers over in under this amount of time.

Ongoing Coaching or Sales Management:
Any coaching or management services provided by Set2Close are to be paid every month, with net 7 day terms.

Length of Agreement: 
Ongoing unless otherwise terminated in writing by either party.

Termination of Agreement: 
This agreement can be terminated with 4 weeks written notice by either party. This document adheres to British Columbia Law.‌

Recruitment Terms:
18% of First Year On Target Earnings (OTE). Ex Sales Rep Base Salary $50,000and OTE of Bonus/Commission $67,500k (estimated at 35%, standard average in sales). It will be 18% of 67,500k = $12,150. 

Best Practices for Communication and Process Success:
The Client agrees to book and participate in a Client Recruitment Meeting within five (5) business days of receiving an email notification from the Recruiter confirming the initiation of recruitment operations. This meeting is an integral part of the recruitment process and is essential for effective collaboration between the Client and the Recruiter.
The Client's prompt participation in the Client Recruitment Meeting is necessary to facilitate the following:
 
Clarification of Job Requirements: To ensure a thorough understanding of the client's hiring needs, the parties will discuss the specifics of the position, including job description, required qualifications, and any other relevant details.

Alignment on Recruitment Strategy: The Client and the Recruiter will discuss and agree on the recruitment strategy, including sourcing channels, candidate profiles, and a timeline for the recruitment process.
 
Feedback and Communication: The Client will have the opportunity to provide feedback, ask questions, and address any concerns during the meeting. This ensures that the recruitment process remains transparent and responsive to the Client's preferences.

Failure to adhere to this clause and schedule the Client Recruitment Meeting within the stipulated timeframe may result in delays in the recruitment process and potential adverse impacts on the quality of candidate submissions.

By signing this contract, the Client acknowledges and agrees to the importance of promptly scheduling and participating in the Client Recruitment Meeting as outlined above

Client Responsiveness:
The Client acknowledges the importance of maintaining open and timely communication throughout the recruitment process. To ensure the efficiency of the process and to keep all parties informed, both parties agree to the following communication expectations:
 
1. The Client commits to responding to any updates, inquiries, or requests for information that require their attention within two (2) business days of receiving such communication.
2. These updates may include, but are not limited to, candidate submissions, interview scheduling, feedback on candidates, reference checks, and other relevant matters pertaining to the recruitment process.
3. Timely responses from the Client are essential to avoid unnecessary delays and to ensure that the recruitment process proceeds smoothly.
4. In the event that the Client anticipates any extended unavailability or unresponsiveness due to specific circumstances, they agree to notify the Recruiter in advance to make suitable arrangements for the ongoing recruitment process.
5. Failure to respond within the stipulated time frame may result in delays in the recruitment process, impacting the timely placement of qualified candidates.
